What we flag

Three colors. Easy to scan.

Every clause we find gets bucketed so you know exactly where to focus.

Critical

The clauses that could actually screw you. Walk-away or renegotiate before signing.

  • Auto-renewal traps with hard-to-cancel windows
  • Unlimited liability or one-sided indemnification
  • IP grabs that take your work outside the contract
  • Non-competes that violate state law
  • Waivers of jury trial / class action
  • Penalties or fees that exceed legal caps

Negotiate

Standard but unfavorable. Worth pushing back if you have leverage.

  • Termination notice periods that are too long
  • Payment terms over net-30
  • Vague scope / "as needed" language
  • Confidentiality clauses with no expiration
  • One-sided amendment rights
  • Audit clauses with no notice requirement

Looks fine

Standard, market-rate clauses. Nothing weird here.

  • Mutual confidentiality with sane scope
  • Reasonable termination for cause
  • Standard governing law / venue
  • Force majeure with normal carve-outs
  • Boilerplate severability + entire-agreement
  • Notice and cure periods that match industry norms

FAQ

Common questions.

No. ContractReview is an AI-powered red-flag scanner, not a law firm. It surfaces clauses that commonly cause problems and suggests questions, but it cannot represent you, advise on your specific case, or guarantee compliance. For high-stakes or jurisdiction-specific situations, see an attorney.
Anything written in plain or moderately legal English: leases, employment agreements, NDAs, freelance SOWs, vendor contracts, partnership agreements, SaaS terms. It struggles with jurisdiction-specific filings (court documents, regulatory filings, immigration paperwork) — those need a real attorney.
Up to about 50 pages. Longer than that, the model trims or summarizes the middle sections to focus on red-flag-prone areas (signature blocks, payment terms, IP, termination, indemnification, liability). For really long contracts (100+ pages), email us and we'll handle them manually.
No. We process the file, generate the review, email it to you, and delete the original. We don't keep a copy. We don't train models on your contracts. We don't share with anyone.
Possible. The AI is good at common red flags — auto-renewal traps, IP grabs, non-competes, broad indemnification — but novel or subtle issues might slip past. The review is a sanity check, not a guarantee. If you're at all unsure, get a lawyer.
Because the review is generated and delivered immediately, the $5 fee is non-refundable. If something is technically broken (no review delivered, corrupted file), email us and we'll redo it for free.

Don't sign blind.
